Acceptance of These Terms
Welcome to Autogenic Labs. These Terms of Service ("Terms") are a legal agreement between you and Autogenic Labs LLC ("Autogenic Labs," "we," "us," or "our"). By accessing our website or using our AI assistant product, you agree to these Terms. If you do not agree, do not use the service.
These Terms of Service govern your use of our website and our AI assistant product. Our SMS messaging program has its own SMS Terms of Service, and our data practices are described in our Privacy Policy and SMS Privacy Policy.
Description of the Service
Autogenic Labs provides an AI assistant that you reach by text message. On a paid plan, we provision a working environment for your assistant so that it can carry out tasks on your behalf. Your assistant can also create and deploy web pages and applications, which we may host and make available at a public web address. The assistant uses third-party AI model providers to generate its responses. We may change, add, or remove features over time.
Eligibility
You must be at least 18 years old and located in the United States to use the service. By using the service, you represent that you meet these requirements.
Your Account
You are responsible for the phone number and any credentials used to access the service, and for all activity that occurs under your account. Keep your access secure, and contact us promptly if you believe your account has been used without your authorization.
Subscriptions, Billing, and Cancellation
Some features require a paid subscription. Payments are processed by our payment provider, Stripe, and are subject to Stripe's terms. By starting a subscription, you authorize us to charge your payment method on a recurring basis until you cancel.
Your plan includes an allowance of usage credits. If you exceed your plan's allowance, additional usage may be billed as overage, as described at sign-up and on your account page. We may offer trials or promotional pricing on the terms stated at the time of the offer.
Subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You can cancel at any time, and your subscription will remain active through the end of the current billing period. Except where required by law, payments are non-refundable. We may change our prices, and we will give you notice before a change applies to your subscription.
Acceptable Use
You agree not to use the service to:
- violate any law or regulation;
- harm, harass, threaten, or defraud others;
- send spam or unlawful, infringing, or deceptive messages;
- infringe the intellectual property or privacy rights of others;
- publish, host, or distribute content through the service, including through any app or page you create, that is unlawful, infringing, or that you do not have the rights to use; or
- attempt to gain unauthorized access to, disrupt, or interfere with the service or its security.
We may suspend or terminate access for conduct that violates these Terms.
Your Content
You retain ownership of the content and information you provide to the assistant and of the apps, pages, and other materials you create or publish through the service. You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and serve that content as needed to operate, secure, and improve the service, including by making it available through our infrastructure providers (such as Cloudflare) and by transmitting it to the AI model providers that deliver the service. This license lasts only as long as needed to provide the service and does not give us ownership of your content.
You are responsible for the content you provide or publish, and you represent that you have the rights needed to use it. If you direct the assistant to build and deploy an app or page, we may host it and make it available at a public web address, where others may be able to access it. Do not publish or host content through the service that is unlawful, infringing, or that you do not have the rights to use. We may remove or disable access to content as described in the "Acceptable Use" and "Copyright and DMCA Policy" sections.
As between you and us, you keep your rights in the inputs you provide, and, subject to your compliance with these Terms, we assign to you whatever rights we may have in the output the assistant generates for you. Because the service relies on artificial intelligence, output may not be unique, and other users may receive the same or similar output; our assignment does not extend to anyone else's output. This assignment does not give you any rights in the service itself or in our underlying software or technology.
The assistant generates responses using automated AI systems. Output may be inaccurate or incomplete and is provided for your convenience only. It is not professional, legal, financial, or medical advice, and you are responsible for reviewing and verifying any output before relying on or acting on it.
Third-Party Services
The service relies on third-party providers, and the assistant may act on third-party platforms at your direction. We are not responsible for third-party services, and your use of them may be subject to their own terms.
Intellectual Property
The service, including our software, website, and branding, is owned by Autogenic Labs and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the service in accordance with these Terms. These Terms do not transfer any of our intellectual property rights to you.
Copyright and DMCA Policy
We respect the intellectual property rights of others and expect you to do the same. We respond to clear notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). In appropriate circumstances, we will remove or disable access to content on the service that is the subject of a valid notice, and we will disable or terminate the accounts of users who repeatedly infringe.
Reporting copyright infringement. If you believe content available through the service infringes a copyright you own or are authorized to act for, send a written notice to our designated agent:

To be valid, your notice must include:
- your physical or electronic signature;
- identification of the copyrighted work you claim has been infringed;
- identification of the material you claim is infringing, with information reasonably sufficient to let us locate it (such as the web address where it appears);
- your name, address, telephone number, and email address;
- a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law; and
- a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
Counter-notification. If your content was removed or disabled and you believe this was a mistake or a misidentification, you may send our designated agent a written counter-notification that includes:
- your physical or electronic signature;
- identification of the material that was removed and the location where it appeared before it was removed;
- your name, address, telephone number, and email address;
- a statement, made under penalty of perjury, that you have a good-faith belief the material was removed or disabled as a result of a mistake or a misidentification; and
- a statement that you consent to the jurisdiction of the federal district court for the judicial district where you reside (or, if you are outside the United States, the federal district court for the District of Delaware) and that you will accept service of process from the person who filed the notice.
If we receive a valid counter-notification, we may restore the removed content in 10 to 14 business days unless the person who filed the original notice tells us they have filed a court action to stop the alleged infringement.
Repeat infringers. It is our policy, in appropriate circumstances and in our sole discretion, to disable or terminate the accounts of users who repeatedly infringe the copyrights or other intellectual property rights of others.
Misrepresentations. Knowingly making a material misrepresentation in a DMCA notice or counter-notification (for example, that material is infringing, or that it was removed by mistake) is unlawful and may make you liable for damages, including costs and attorneys' fees, under Section 512(f) of the DMCA. We reserve the right to seek those damages.
Disclaimer of Warranties
The service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any output will be accurate or reliable.
Limitation of Liability
To the fullest extent permitted by law, Autogenic Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from or related to your use of the service. To the fullest extent permitted by law, our total liability for any claim relating to the service will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold harmless Autogenic Labs from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the service, any content you provide, publish, or make available through the service, your violation of these Terms, or your violation of any law or the rights of any third party.
Termination
You may stop using the service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the service, and we disable or terminate the accounts of repeat infringers as described in our Copyright and DMCA Policy. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.
Changes to These Terms
We may update these Terms from time to time. Any changes will be posted on this page with an updated effective date. Your continued use of the service after changes are posted constitutes your acceptance of the revised Terms.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the service.
